I recommend you taking general printout of the appointment letter that is issued to the general employees. Have a meeting with him and discuss which paragraphs to be retained and which to be deleted. This will give you clarity on what is in his mind.

Normally the appointment of Executive Director is approved by the Board and Chairman. The roles and responsibilities are, as decided by the board, including the monthly / annual perks and shares (Authorized shares, Outstanding Shares, Floating shares, and issued shares) since he is also founder. Based on the above details Chairman’s office issue a letter based on the board decision/resolutions.
