Are the directors / partners same or common?
What is nature of business of ABC? Is it related to products or services of XYZ?
If XYZ owns the factory premises then is there a rent agreement between both?

You fall under the Factories Act. Definition of factory included all premises in the 'precincts' as factory. Hence ABC is factory premise. If you have factory license with only XYZ manpower get it amended to include manpower of ABC in it.
